These terms cover your use of this website and the application form. They are not the agreement for a build. If you hire us, a separate written service agreement governs that work, and where the two ever disagree, the service agreement wins.

This site describes a service: we build custom e-commerce storefronts and transfer them to the client. Everything here is an invitation to apply, not an offer capable of acceptance, and nothing on this site creates a contract. A contract exists only when both parties sign a written service agreement.
No guarantee of results. We make no representation, warranty, or guarantee regarding revenue, sales, profit, traffic, customer acquisition, payment-processor approval, supplier performance, or any other business outcome. Results depend entirely on your own execution, capital, market, and compliance.
We do not provide a marketing plan, a sales program, advertising services, leads, accounts, affiliates, or customers, and we do not offer territories, exclusivity, or buy-backs. We do not source, manufacture, test, or sell any product.
No statement made by any employee, contractor, or representative can add a guarantee that isn't in the signed service agreement. If someone tells you otherwise, they are not speaking for us, and you should tell us about it.
Meridian Research Supply is a fictional brand. We built it to demonstrate what our platform produces. It is not a client, not a real company, and nothing on it is for sale. Every lot number, certificate, address, phone number, price, and stock level shown there is illustrative and made up.
Applying is free and commits you to nothing. When you apply you agree that the information you give us is accurate to the best of your knowledge, and that we may contact you by email and phone about your application. We may decline any application for any lawful reason, or for no reason, and we're not obliged to explain, though in practice we usually do.
What we do with the information is described in our Privacy Policy.
Don't submit false information or apply on someone else's behalf without their authority. Don't attempt to gain unauthorised access to this site or any connected system, probe it for vulnerabilities, scrape it in bulk, or use it to send anything unlawful. Don't copy the design, code, text, or images on this site for your own commercial use; they're ours.
All content on this site, including the copy, design, code, and the demonstration store, is owned by us or licensed to us, and is protected by copyright and other laws. Nothing here transfers any right to it. Clients receive rights to their own delivered store under their service agreement, not under these terms.
We link to third-party sites and services. We don't control them and we're not responsible for their content, practices, or availability. A link isn't an endorsement.
Nothing on this site is legal, regulatory, tax, medical, or financial advice. The category we build for is regulated, and what's lawful depends on your products, your claims, your labelling, and where you operate. Get your own lawyer. We build stores for research-use-only products; we do not build for, or advise on, human-consumption positioning, and we do not review your claims for you.
This site is provided as is and as available, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't promise the site will be uninterrupted, error-free, or free of harmful components. Some jurisdictions don't allow these exclusions, so parts of this section may not apply to you.
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from your use of this site, on any theory of liability, even if we were told such damages were possible. Our total liability arising out of or relating to this site will not exceed one hundred US dollars ($100). Liability arising out of a signed service agreement is governed by that agreement instead.
Nothing in these terms excludes liability that cannot lawfully be excluded, including for fraud or fraudulent misrepresentation.
You'll indemnify us against claims, losses, and reasonable legal costs arising from your breach of these terms, your misuse of this site, or your violation of any law or third-party right in connection with your use of this site.
These terms are governed by the laws of [[GOVERNING_LAW_STATE]], without regard to its conflict-of-laws rules. Any dispute arising out of these terms or your use of this site will be brought exclusively in the state or federal courts located in [[VENUE_COUNTY_STATE]], and both parties consent to that jurisdiction.
Disputes arising from a signed service agreement follow the dispute-resolution clause in that agreement, not this section.
We may update these terms. The version in force is the one posted here when you use the site, and material changes get a new date at the top. If you keep using the site after a change, that's acceptance.
If any provision is held unenforceable, the rest stays in force and the unenforceable part is limited to the minimum extent necessary. Our failure to enforce a provision isn't a waiver of it. You may not assign these terms; we may, in connection with a sale or reorganisation of the business. These terms, plus the Privacy Policy, are the entire agreement between us regarding this site.
